Terms of Use
1. General Provisions
- Scope of Application
These Terms of Use (“Terms”) govern all relationships between HelloMyHealth Inc. (the “Company”) and any individual or entity that accesses or uses the Licklider service (the “Service”). Corporate or institutional users are deemed to have agreed to these Terms. - Supplementary Rules
If the Company issues separate guidelines, privacy policies, or other rules (“Supplementary Rules”) related to the Service, those rules form part of these Terms. Where a Supplementary Rule conflicts with these Terms, these Terms prevail unless the Supplementary Rule expressly states otherwise. - Notices and Updates
The content of these Terms is announced on the Company’s website or by other methods the Company deems appropriate. Users are responsible for reviewing the latest Terms regularly. - Regional Restrictions
The Company may impose restrictions on service availability based on region and may suspend or limit use accordingly. - Language
If any discrepancy arises between the Japanese version and other language versions of these Terms, the Japanese version shall prevail.
2. Account Registration
- Registration Procedure
Users must accurately register their email address and other required information through the method specified by the Company. False information or use of third-party information without authorization is prohibited. - Refusal or Deletion of Registration
The Company may refuse or delete an account if it determines that the User has registered false or incomplete information, violated these Terms, or is otherwise inappropriate. - Password Management
Users are responsible for managing their account credentials. The Company shall not be liable for any damages resulting from insufficient management by the User. - Age Restrictions
Users under 13 years old are strictly prohibited from using the Service. Users aged 13–17 must obtain parental or legal-guardian consent before use. Responsibility arising from use without such consent rests with the User or guardian.
3. Service Description and AI-Generated Content
- Overview
The Service provides AI-agent functionality for researchers, including literature search, summarization, analysis, and organization. Details are available on the Company’s website. - AI-Generated Content
The Service may include content generated using the Company’s or third-party AI technology (“AI-Generated Content”). The Company makes no guarantees regarding the accuracy or appropriateness of such content. Users rely on it at their own discretion and risk. - Modification of Functions
The Company may add, change, or suspend features of the Service without prior notice and shall not be liable for resulting damages.
4. Fees and Billing
- Free and Paid Plans
The Service offers a freemium model. Paid features are subject to fees as indicated on the Company website. - Payment and Renewal
Users shall pay via credit card or other methods designated by the Company or its payment processor. Subscriptions renew automatically unless canceled. - Refund Policy
No prorated or partial refunds will be issued except where required by applicable law. Additional conditions appear on the Company website.
5. Prohibited Conduct
- Violating laws or public order and morals
- Infringing the rights or interests of the Company or third parties (e.g., copyright, trademarks, privacy)
- Defamation, discrimination, harassment, threats, or offensive conduct
- Misuse of personal or confidential information beyond research purposes
- Causing undue burden on the Service, unauthorized access, reverse engineering
- Providing direct or indirect benefits to antisocial forces
- Any other conduct deemed inappropriate by the Company
6. Intellectual Property and User Content
- Company’s Rights
All intellectual property related to the Service, including software, design, UI, and databases, belongs to the Company or its licensors. - User Content
Rights to content uploaded or entered by Users (“User Content”) remain with the User or rightful owner. However, the User grants the Company a non-exclusive right to duplicate, analyze, and retain such content for service operation and improvement. - AI-Generated Output
Ownership of AI-Generated Content may be legally unclear. Users use or disclose such content at their own risk and shall bear responsibility for any third-party claims.
7. Privacy and Data Protection
- Privacy Policy
The Company handles personal information in accordance with its separately defined Privacy Policy. Use of the Service constitutes agreement with that Policy. - Data Handling
Research data input into the Service may be processed by AI features. The Company will strictly manage such data and use it only as outlined in the Privacy Policy. - International Transfers
If servers or AI integrations are located overseas, personal data may be transferred accordingly. Use of the Service constitutes consent to such transfers. - Anti-Discrimination
The Company will not discriminate against Users for exercising their privacy rights under applicable law. - Contact

8. Service Suspension, Termination, and Account Deletion
- Temporary Suspension
The Company may temporarily suspend the Service without notice due to system maintenance, communication failures, or force majeure. The Company is not liable for resulting damages. - Termination by Company
The Company may terminate all or part of the Service or delete an account if a User violates these Terms or for other reasonable grounds. The Company is not liable for resulting damages. - Termination by User
Users may cancel their subscription at any time via methods specified by the Company. Fees are settled per Section 4. - Data Handling After Deletion
After account deletion, the Company will retain User Content for a limited period as necessary, then delete it securely.
9. Disclaimers and Limitation of Liability
- No Warranty
The Company provides no warranty regarding the accuracy, completeness, utility, or uninterrupted availability of the Service or AI-Generated Content. - Disclaimer
The Company shall not be liable for any damages resulting from the use or inability to use the Service, except in cases of willful misconduct or gross negligence. - Third-Party Disputes
Users shall resolve any disputes with third parties at their own cost and responsibility. Users shall not cause damage to the Company.
10. Amendments
- Right to Amend
The Company may revise these Terms as needed and notify Users on the website. Continued use of the Service after revision constitutes acceptance. - If User Disagrees
Users who do not agree to the updated Terms must immediately stop using or cancel their subscription to the Service.
11. Governing Law and Jurisdiction
- Governing Law
These Terms are governed by the laws of Japan unless mandatory local laws dictate otherwise. - Jurisdiction
The Tokyo District Court has exclusive jurisdiction for the first instance in disputes related to these Terms or the Service, except where mandatory local laws require otherwise.
12. Special Provisions for U.S. and California Residents
- Compliance with U.S. Privacy Laws
The Company complies with applicable U.S. state consumer-privacy laws, including the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA). - Notice of Collection and Use
